Vodafone’s network in the UK, which was once considered untouchable, is now being merged with smaller rival Three as part of the company’s efforts to restructure. This is not the first time Vodafone and CK Hutchison’s Three have attempted a merger. They previously merged their operations in Australia in 2009, which resulted in significant customer losses and network problems. However, this Australian merger served as a template for similar deals in the US, Germany, Italy, and Ireland, where regulators believed that consolidation would lead to stronger mobile telecoms players capable of investing in new networks.

The telecoms industry has witnessed a trend of consolidation, with companies realizing the challenges of managing expansive networks across multiple markets. Britain has been slower to join this trend due to regulatory restrictions, but the proposed Vodafone-Three merger and the Orange-MasMovil merger in Spain may indicate a change in the European regulatory landscape.

Vodafone has learned from its previous Australian experience and will maintain a 51 per cent stake in the merged UK business, ensuring control over its home market network. The impact on consumers will also be closely watched, as the Australian merger did not cause a significant increase in telecoms costs. Analysts argue that combining struggling companies preserves competition in the market.

However, Telstra, the incumbent telecoms player in Australia, has emerged as the biggest winner from consolidation, while Vodafone’s market value has dwindled. The Australian market has faced additional challenges due to the decline in tourism and international student numbers during the COVID-19 pandemic.

Furthermore, the telecoms industry faces increasing competition from cloud players like Amazon and Microsoft in the enterprise market, as well as potential threats from low-earth orbiting satellite players targeting the wireless sector. This puts pressure on mobile-only players, potentially leading regulators to question if there is room for three players, let alone four, in the market.

Overall, the Vodafone-Three merger in the UK reflects the ongoing trend of consolidation in the telecoms industry, driven by the need for stronger players to invest in new networks and adapt to evolving market dynamics.
